POOHDINI COMMERCIAL SERVICE — TERMS OF USE
These Terms apply to all commercial services POOHDINI provides, including pet waste station installation and servicing and grounds scooping for condominiums, apartment complexes, HOAs, parks, businesses and other commercial properties.
HOW THESE TERMS WORK
Each commercial Customer signs an Agreement with POOHDINI. The Agreement sets out the property, the services, the rates, the term, and any charges specific to that Customer. These Terms form part of every Agreement. If the Agreement and these Terms conflict, the Agreement governs.
QUOTES AND SITE ASSESSMENT
Quotes are based on the information the Customer provides. Pricing is final only after POOHDINI has walked the property. POOHDINI will confirm any change to the quote with the Customer before service begins.
PAYMENT AND BILLING
How the Customer pays. POOHDINI issues invoices through its secure client portal. The Customer may pay by any method listed in its Agreement. If the Customer adds a card to its account, POOHDINI will charge invoices to it automatically.
When POOHDINI bills. Recurring service is billed monthly in advance, on the last day of each month, for the month ahead. Weekly service is billed as a flat monthly amount (the per-visit rate × 52 visits ÷ 12 months), so the invoice is the same every month. The first invoice is prorated from the start date to the end of that month.
Payment due. Payment is due on the invoice date unless the Agreement says otherwise. POOHDINI emails a receipt for every electronic payment automatically.
Other charges. POOHDINI invoices any other charges under the Agreement when they arise, due on the same terms. These include station purchases, removal charges, billed damage incidents and additional consumables. Every damage charge comes with photo documentation.
Taxes. HST is shown on every invoice.
Late payment. Balances unpaid after the due date carry a charge of 2% per month. If the Customer's account is more than 30 days overdue, POOHDINI will give the Customer written notice. If the balance is still unpaid 15 days after that notice, POOHDINI may pause service until the account is brought up to date. If the account is more than 60 days overdue, POOHDINI may end the Agreement. Any removal charge or station purchase price then applies as if the Customer had ended it.
Invoice questions. If the Customer believes an invoice is wrong, the Customer should notify POOHDINI within 30 days, and POOHDINI will review it. POOHDINI will not charge late fees on the disputed amount while it is under review.
Refunds. Service billed for a period is not refunded once that period begins, except as set out in the Agreement.
SCHEDULING AND SERVICE
Service day. POOHDINI services each property on a consistent scheduled day. Arrival times are not guaranteed, because routes are planned daily. POOHDINI will give advance notice of any permanent change to the service day.
Year-round service. POOHDINI services stations weekly, twelve months a year, at full frequency.
Bad weather. POOHDINI will not send staff out in conditions it considers dangerous, such as freezing rain, whiteout or an unsafe approach, and will tell the Customer when it has made that call.
A station visit missed for weather is rescheduled within the same week once conditions allow.
Grounds scooping prevented by heavy snow, ice, flooding or frozen ground moves to the next scheduled visit, and everything that has built up is cleared then. Scooping delayed by weather is not credited, because the work is still done.
Holidays. POOHDINI observes Ontario statutory holidays. A station visit that falls on a holiday moves to another day in the same week. Scooping moves to the next scheduled visit.
SITE ACCESS AND SAFETY
Access. The Customer provides safe, clear access to each station and service area, including any gates, codes or keys POOHDINI needs.
Winter access. The Customer keeps the approach to each station clear of snow and ice, and salted or sanded as needed. If snow removal buries a station, POOHDINI services what it can safely reach, notes the situation in the service report, and does not excavate the station.
No access. If POOHDINI cannot reach a station or service area because of a locked gate, an obstruction or unsafe conditions within the Customer's control, POOHDINI will try to contact the Customer. The visit is still charged, and POOHDINI services the area on the next scheduled visit.
Animals on site. POOHDINI staff may decline to service an area where an animal appears unsafe. The Customer should tell POOHDINI about any known risk.
STATIONS
Ownership. Stations installed under a free-install Agreement are POOHDINI property.
POOHDINI's responsibilities. POOHDINI keeps each station in working order and stocked with bags and liners.
Customer's responsibilities. The Customer treats the station as part of its property. This means keeping reasonable watch over it, telling POOHDINI about any damage, and not moving or altering it.
Installation. The Customer approves each station location before install. POOHDINI arranges utility locates before digging, unless otherwise agreed with the Customer. Stations are installed in the best manner for the chosen location. This may include set in concrete, driven in the ground, attached to Customer’s property. If a station is removed, the sleeve and footing stay in place (where applicable) and landscaping restoration is not included.
Damage. How damage is billed depends on its cause:
Ordinary wear, rust and manufacturing faults are repaired or replaced at POOHDINI's cost.
Vandalism, theft and accidental damage (for example, from a snowplow) are billed at POOHDINI's cost, after any free-incident allowance in the Agreement.
Damage caused by the Customer's staff, residents or visitors is billed at replacement cost.
The amounts, caps and incident limits are set out in the Agreement. POOHDINI provides photo and written documentation for every incident.
Heavy use. Bags and liners are included at normal levels. If a station consistently uses more than twice the typical volume, POOHDINI will review this with the Customer before billing anything. Any additional consumables are billed at POOHDINI's cost.
REPORTING, PHOTOS AND EQUIPMENT
Service records. POOHDINI records each service visit and tells the Customer about damage, placement problems or unusually heavy use.
Photos. POOHDINI may take photos for quality control, verification and record-keeping.
Sanitation. POOHDINI disinfects its equipment regularly between every property.
INSURANCE
POOHDINI is fully insured and will provide a certificate of insurance on request.
ENDING SERVICE
The term, notice periods, removal charges and station buyout are set out in the Agreement. POOHDINI may also end service under the Late Payment terms above.
CHANGES TO THESE TERMS
POOHDINI may update these Terms by giving the Customer 30 days' written notice. Updates do not change the rates, term or charges in a signed Agreement except as that Agreement allows.
PRIVACY
POOHDINI collects contact, property, service and billing information to provide and improve its services, process payments, and send service updates and occasional promotional messages. POOHDINI does not sell customer information. Information is shared only with trusted providers for payment processing, communications, analytics and operational support, or where required by law. The Customer may opt out of promotional messages at any time by replying STOP or using the unsubscribe link. POOHDINI uses reasonable measures to protect information, but no online system is completely secure.
GOVERNING LAW
These Terms are governed by the laws of Ontario.
